Preamble

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "You," or "Your") and Vehicle Data LLC ("Company," "We," "Us," or "Our"), doing business as VINReport.com. These Terms govern your access to and use of the website located at www.vinreport.com (the "Site") and any related services, data, reports, software, tools, or functionalities provided by the Company (collectively, the "Services").

BY ACCESSING OR USING THE SITE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE ALL USE OF THE SITE AND SERVICES.

Article 1: Definitions

1.1. "Vehicle History Report"

A digital document containing aggregated data regarding a specific vehicle, identified by its Vehicle Identification Number (VIN). This data may include title history, salvage records, odometer readings, and other event data.

1.2. "NMVTIS"

The National Motor Vehicle Title Information System, a database maintained by the United States Department of Justice, from which portions of the Company's data may be sourced.

1.3. "User Content"

Any data, text, or information submitted by You to the Site, including but not limited to VIN search queries, account registration details, and payment information.

1.4. "Digital Goods"

Intangible products delivered electronically, specifically including Vehicle History Reports, VIN decoding data, and market value estimates.

Article 2: Scope of Services

2.1. Informational Purpose Only

The Services provided by Vehicle Data LLC are strictly for informational and research purposes. The Company aggregates data from various third-party sources. The Company does not generate original vehicle history data and does not physically inspect vehicles.

2.2. No Brokerage or Dealership Status

Vehicle Data LLC is not a vehicle dealer, broker, agent, or escrow service. The Company does not:

  • Sell, buy, lease, or trade vehicles;
  • Broker transactions between buyers and sellers;
  • Verify the physical condition, safety, or roadworthiness of any vehicle; or
  • Hold funds or titles for any party.

2.3. No Professional Advice

Market value estimates and history reports provided by the Services do not constitute professional appraisals, legal advice, or financial advice. You agree to conduct Your own due diligence and independent verification before engaging in any financial transaction involving a vehicle.

Article 3: Eligibility and Accounts

3.1. Eligibility

You represent and warrant that You are at least eighteen (18) years of age and possess the legal capacity to enter into this agreement. Access to the Services is void where prohibited by law.

3.2. Account Registration

To access certain features, including bulk tools or API access, You may be required to register an account. You agree to provide accurate, current, and complete information during the registration process.

3.3. Account Security

You are solely responsible for maintaining the confidentiality of Your login credentials. You accept full responsibility for all activities that occur under Your account. Vehicle Data LLC shall not be liable for any loss or damage arising from Your failure to secure Your account.

3.4. Termination of Access

The Company reserves the right, at its sole discretion, to suspend, limit, or terminate Your access to the Services at any time, with or without notice, for any violation of these Terms or for any conduct that the Company deems harmful to its business or users.

Article 4: Acceptable Use Policy

4.1. Permitted Use

You are granted a limited, non-exclusive, non-transferable, and revocable license to access the Site and use the Services for personal, non-commercial use, or internal business use (if an authorized business account).

4.2. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

  • Resale: Selling, licensing, sub-licensing, or redistributing any reports or data obtained from the Site without express written permission.
  • Automated Access: Using robots, spiders, scrapers, or other automated means to access the Site or extract data.
  • Reverse Engineering: Attempting to decipher, decompile, disassemble, or reverse engineer any of the software or algorithms comprising the Site.
  • Interference: Introducing viruses, trojan horses, worms, or other malicious code that harms the Site or its infrastructure.
  • False Information: Inputting false VINs or fraudulent payment information.

4.3. FCRA Compliance (Fair Credit Reporting Act)

Vehicle Data LLC is not a "consumer reporting agency" as defined by the Fair Credit Reporting Act (15 U.S.C. § 1681 et seq.) ("FCRA"). You certify that You will not use the Services for:

  • Employment screening or hiring purposes;
  • Tenant screening or housing eligibility;
  • Determining eligibility for credit, insurance, or government benefits; or
  • Any other purpose governed by the FCRA.

Article 5: Fees, Payments, and Refunds

5.1. Payment Terms

You agree to pay the fees displayed at the time of purchase. Fees may vary based on the specific service, volume, or subscription tier selected. All prices are subject to change without prior notice.

5.2. Digital Goods Policy

You acknowledge that Vehicle History Reports are "Digital Goods." Upon the generation and delivery (display) of a report, the Service is deemed fully performed.

5.3. Refund Policy

Due to the nature of Digital Goods, all sales are generally final.

(a) Non-Refundable Circumstances:

Refunds will not be issued for:

  • Reports containing data gaps (e.g., no accident data found) where no data exists in available databases.
  • Data discrepancies or inaccuracies originating from third-party sources.
  • User error (e.g., entering the wrong VIN).
  • "Buyer's Remorse" or dissatisfaction with the vehicle's history.

(b) Refundable Circumstances:

The Company may, at its sole discretion, issue a refund for:

  • Duplicate charges for the same report.
  • Technical failures where a paid report was not generated or delivered.

Article 6: Intellectual Property

6.1. Company Ownership

All content on the Site, including but not limited to text, graphics, logos, user interfaces, code, and software, is the property of Vehicle Data LLC or its licensors and is protected by United States and international copyright, trademark, and intellectual property laws.

6.2. Third-Party Data

Underlying vehicle data provided in reports remains the property of the respective data sources (e.g., NMVTIS, state DMVs, insurance entities). You acquire no ownership rights to this data.

6.3. Trademarks

"VINReport," "Vehicle Data LLC," and related logos are trademarks of the Company. You may not use these trademarks without prior written permission.

Article 7: Disclaimers and Warranties

7.1. "As Is" and "As Available"

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. VEHICLE DATA LLC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

7.2. Data Accuracy Disclaimer

VEHICLE DATA LLC RELIES ON THIRD-PARTY SOURCES FOR DATA. WE DO NOT WARRANT THAT THE REPORTS ARE ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE. DELAYS, OMISSIONS, AND INACCURACIES MAY EXIST IN THE DATA PROVIDED BY GOVERNMENT AGENCIES AND INDUSTRY PARTNERS. A CLEAN VEHICLE HISTORY REPORT DOES NOT GUARANTEE THAT A VEHICLE IS FREE OF DEFECTS OR ACCIDENTS.

7.3. NMVTIS Disclaimer

Where applicable, data may be sourced from NMVTIS. NMVTIS data includes only information reported by participating states and entities. Not all states or entities participate or report data in real-time. The Company is not responsible for missing records resulting from non-reporting entities.

Article 8: Limitation of Liability

8.1. Exclusion of Damages

IN NO EVENT SHALL VEHICLE DATA LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, OR DATA PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES;
  • FINANCIAL LOSS INCURRED FROM THE PURCHASE OR SALE OF A VEHICLE;
  • LOSS OF DATA OR USE; OR
  • COST OF SUBSTITUTE GOODS OR SERVICES.

8.2. Liability Cap

IN NO EVENT SHALL THE COMPANY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOU TO THE COMPANY FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

Article 9: Indemnification

You agree to indemnify, defend, and hold harmless Vehicle Data LLC and its affiliates, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms;
  • Your use or misuse of the Services;
  • Your violation of any rights of a third party, including intellectual property rights; or
  • Your violation of the FCRA or other applicable laws regarding data privacy and usage.

Article 10: Dispute Resolution and Arbitration

10.1. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

10.2. Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in Dover, Delaware. The arbitration shall be administered by the American Arbitration Association (AAA) pursuant to its Consumer Arbitration Rules.

10.3. Class Action Waiver

YOU AND VEHICLE DATA LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

10.4. Venue

If for any reason a claim proceeds in court rather than in arbitration, You hereby consent to the exclusive jurisdiction and venue of the state or federal courts located in Dover, Delaware.

Article 11: Miscellaneous Provisions

11.1. Entire Agreement

These Terms, along with the Privacy Policy, constitute the entire agreement between You and Vehicle Data LLC regarding the Services and supersede all prior or contemporaneous agreements, understandings, and communications, whether written or oral.

11.2. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

11.3. Waiver

No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.

11.4. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without the Company's prior written consent. Vehicle Data LLC may assign these Terms at any time without notice or consent.

11.5. Force Majeure

The Company shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

NMVTIS Consumer Access Product Disclaimer

The National Motor Vehicle Title Information System (NMVTIS) is an electronic system that contains information on certain automobiles titled in the United States. NMVTIS is intended to serve as a reliable source of title and brand history for automobiles, but it does not contain detailed information regarding a vehicle’s repair history.

All states, insurance companies, and junk and salvage yards are required by federal law to regularly report information to NMVTIS. However, NMVTIS does not contain information on all motor vehicles in the United States because some states are not yet providing their vehicle data to the system. Currently, the data provided to NMVTIS by states is provided in a variety of time frames; while some states report and update NMVTIS data in “real-time” (as title transactions occur), other states send updates less frequently, such as once every 24 hours or within a period of days.

Information on previous, significant vehicle damage may not be included in the system if the vehicle was never determined by an insurance company (or other appropriate entity) to be a “total loss” or branded by a state titling agency. Conversely, an insurance carrier may be required to report a “total loss” even if the vehicle’s titling-state has not determined the vehicle to be “salvage” or “junk.”

A vehicle history report is NOT a substitute for an independent vehicle inspection. Before making a decision to purchase a vehicle, consumers are strongly encouraged to also obtain an independent vehicle inspection to ensure the vehicle does not have hidden damage. The Approved NMVTIS Data Providers (look for the NMVTIS logo) can include vehicle condition data from sources other than NMVTIS.

NMVTIS data INCLUDES (as available by those entities required to report to the System):

  • Information from participating state motor vehicle titling agencies.
  • Information on automobiles, buses, trucks, motorcycles, recreational vehicles, motor homes, and truck tractors. NMVTIS may not currently include commercial vehicles if those vehicles are not included in a state’s primary database for title records (in some states, those vehicles are managed by a separate state agency), although these records may be added at a later time.
  • Information on “brands” applied to vehicles provided by participating state motor vehicle titling agencies. Brand types and definitions vary by state, but may provide useful information about the condition or prior use of the vehicle.
  • Most recent odometer reading in the state’s title record.
  • Information from insurance companies, and auto recyclers, including junk and salvage yards, that is required by law to be reported to the system, beginning March 31, 2009. This information will include if the vehicle was determined to be a “total loss” by an insurance carrier.
  • Information from junk and salvage yards receiving a “cash for clunker” vehicle traded-in under the Consumer Assistance to Recycle and Save Act of 2009 (CARS) Program.

Consumers are advised to visit vehiclehistory.bja.ojp.gov for details on how to interpret the information in the system and understand the meaning of various labels applied to vehicles by the participating state motor vehicle titling agencies.
